Terms of Service

1. Acceptance of Terms

By accessing or using ChatConnector's multi-channel CRM platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users, including individuals and businesses ("Users"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

ChatConnector provides a multi-channel customer relationship management (CRM) platform that enables businesses to:

  • Manage communications across WhatsApp, Facebook Messenger, and Instagram from a unified dashboard
  • Store and organize customer contacts and conversation histories
  • Automate messaging workflows and responses using AI
  • Track sales pipelines and opportunities
  • Access mobile applications for iOS and Android devices
  • Integrate with third-party services and applications

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Send spam, unsolicited messages, or bulk messages in violation of platform policies
  • Transmit any malware, viruses, or other harmful code
  • Engage in phishing, fraud, or deceptive practices
  • Harass, abuse, or harm another person or entity
  • Collect or harvest personal information without consent
  • Interfere with or disrupt the Service or servers
  • Circumvent any access controls or usage limits
  • Resell or redistribute the Service without authorization
  • Use the Service in any manner that violates WhatsApp Business Policy, Facebook Platform Policy, or Instagram Platform Policy

5. Third-Party Integrations

The Service integrates with third-party platforms including Meta (WhatsApp, Facebook, Instagram). Your use of these integrations is subject to the respective terms and policies of these third-party platforms.

You are responsible for complying with all applicable third-party terms, including but not limited to the WhatsApp Business Terms, Facebook Terms of Service, and Instagram Terms of Use. ChatConnector is not responsible for any actions taken by these third-party platforms, including suspension or termination of your access.

6. Fees and Payment

6.1 Subscription Fees

Certain features of the Service require payment of fees. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

6.2 Billing

Fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

6.3 Price Changes

We reserve the right to change our fees at any time. We will provide you with at least 30 days' notice before any price change takes effect. Your continued use of the Service after the price change constitutes your agreement to pay the updated fees.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all content, features, and functionality, is owned by ChatConnector and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

7.2 Your Content

You retain ownership of any content you submit, post, or display through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely for the purpose of providing the Service to you.

8. Data Processing

When you use the Service to process personal data of your customers or contacts, you act as the data controller and we act as the data processor. You are responsible for ensuring that you have obtained all necessary consents and authorizations to process such personal data and to permit us to process it on your behalf.

Our processing of personal data is governed by our Privacy Policy and, where applicable, any Data Processing Agreement entered into between you and ChatConnector.

9. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

We will use reasonable efforts to provide advance notice of any significant changes that may materially affect your use of the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any information provided through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATCONNECTOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ChatConnector and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) Your Content.

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California, and the language of the arbitration shall be English.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and ChatConnector regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.
